Non-Disclosure Agreement (NDA)

This Mutual Non-Disclosure Agreement ("NDA") applies when you engage Yellow Technologies LLC ("Yellow Technologies," "we," or "us") and share confidential business, technical, or customer information in connection with a project.

By accepting this NDA on a project workspace (or by signing a separate written NDA), you agree to the terms below. Our Service Agreement and Terms of Service also apply to the engagement.

1. Confidential Information

"Confidential Information" means non-public information disclosed by either party, including business plans, customer data, credentials, source code, prompts, models, pricing, and operational processes, whether marked confidential or that a reasonable person would treat as confidential.

2. Obligations

• Use Confidential Information only to perform the project.
• Limit access to people who need it and who are bound by similar confidentiality duties.
• Protect it with at least reasonable care, and no less than you protect your own confidential information.
• Do not disclose it to third parties without prior written consent, except as required by law.

3. Exclusions

Confidential Information does not include information that:

• is or becomes public through no fault of the receiving party;
• was already known without a confidentiality duty;
• is independently developed without use of the disclosure; or
• is rightfully received from a third party without restriction.

4. Return / deletion

On written request at the end of the engagement, each party will return or delete the other party's Confidential Information, except copies retained for legal, archival, or backup purposes under continued confidentiality.

5. Term

Obligations last for three (3) years after disclosure, except for trade secrets, which remain protected while they qualify as trade secrets.

6. No license

Nothing in this NDA grants a license to intellectual property beyond what is needed to evaluate or perform the project.
